MINUTE entry before the Honorable Jeffrey Cole: In reflecting on the course of my discussions yesterday with counsel for the parties and in reflecting further on the nature and factual intricacy -- at least for the jury -- of the case, I thought it appropriate to call to the parties' attention the following insights for their continued consideration as they go forward with discussions. As the late Judge Will sagely noted, the best case can be lost and the worst case can be won...None of these risks should be underestimated." Matter of Superior Beverage/Glass Container Consol. Pretrial, 133 F.R.D. 119, 127 (N.D. Ill. 1990). And more recently, the Seventh Circuit has emphasized that [j]uries can be unpredictable so there is always a possibility of liability in a jury trial even in the strongest of cases. Surgery Center at 900 N. Michigan Ave, LLC v. American Physicians Assurance Corp., Inc., 922 F.3d 778, 785 (7th Cir. 2019). Indeed, [e]stimating likely jury verdicts is by its very nature an unpredictable pursuit, and from time to time juries are bound to return verdicts that are either substantially more or substantially less than the insurers [or counsels] estimates. Nat'l Indem. Co. v. Chipman, 2013 WL 12303139, at *14 (D. Utah 2013). I would be remiss if I did not note the efforts of counsel in the case. The plaintiff was represented by W. Clifton Holmes of The Holmes Law Group, Ltd. in Chicago, while the defendant was represented by Todd Gale of Dykema Gossett, PLLC in Chicago. They displayed a measure of excellence and courtesy that is unfortunately all too rare in today's fractious and overly competitive atmosphere. They brought conspicuous skills to this case, and their conduct is proof that lawyers can act civilly and courteously in their dealings with with each other and with the opposing party without sacrificing in the slightest the obligations they owe to their clients. The parties' counsel must review and comply with this court's Standing Order for Settlement Conference, which appears on the court's website. The requirement of attendance by someone with FULL AUTHORITY is not generally satisfied by attendance of the general counsel or someone from his/her office, although that person is certainly entitled to attend and welcome to participate in the conference. Nor is it satisfied by attendance of a person who must make a phone call to get permission to settle the case in excess of some predetermined amount. ("Rivo") and Arro Corporation ("Arro") have dueling breach of contract complaints resulting from a bad business arrangement over cookie and cupcake mix. See (Dkt. Nos. 4 , 22 ). Pending is Rivo's Partial Motion to Dismiss Counts I-XV and XVIII of Arros Amended Counterclaim. See (Dkt. No. 24 ). The Counterclaim alleges breach of contract for failure to pay invoices on various shipments (Count I); fourteen claims raised in the alternative to Count I as breach of contract claims specific to each particular unpaid invoice sent from Arro to Rivo (Counts II-XV); and finally a claim for breach of contract for the failure to comply with a temporary price reduction for other products shipped for sale (Count XVIII). The motion is denied. [24.] Breach of contract claims under Illinois law require a party show the existence of a contract, performance by the plaintiff, breach by the defendant, and resulting damages. Hammarquist v. United Cont'l Holdings, Inc., 809 F.3d 946, 949 (7th Cir. 2016) (there must be a contract and failure to comply with the terms constitutes a breach); Zirp-Burnham, LLC v. E. Terrell Assocs., Inc., 826 N.E.2d 430, 439 (Ill. App. 2005). When a claim involves purchase orders for goods, "an order or other offer to buy goods for prompt or current shipment shall be construed as inviting acceptance either by a prompt promise to ship or by the prompt or current shipment of conforming or non-conforming goods[.]" 810 ILCS 5 § 2-206(1)(b); Central Ill. Pub. Svc. Co. v. Atlas Minerals, Inc., 146 F.3d 448, 450-451 (7th Cir. 1998). To survive a motion to dismiss, Arro must allege "sufficient factual matter, accepted as true, to state a claim to relief that is plausible on its face." Wigod v. Wells Fargo Bank, N.A., 673 F.3d 547, 555 (7th Cir. 2012) (citing Ashcroft v. Iqbal, 556 U.S. 662, 678 (2009)). A motion to dismiss tests the sufficiency of claims, not their merit. Gibson v. City of Chicago, 910 F.2d 1510, 1520 (7th Cir. 1990). Arro alleges that Rivo through its parent company communicated four separate "opening orders for the Walmart TCF baking mixes" with each order containing two purchase orders per item (snickerdoodle cookie mix, chocolate chip cookie mix, chocolate cupcake mix, and vanilla cupcake mix). See (Dkt. No. 22 , at 26). Each specific order itemized the number of cases per order, the price per case, the total number of cases for each product, and noted that payment for the orders was due within 30 days. Id. Arro next alleges that they produced and/or invoiced Rivo for the requested products over a variety of days spanning from April 20 to September 22, 2017. Id. 28-35. Additionally, Arro alleges that they shipped product to Rivo over the same period of time and that some but not all of the invoices they sent went unpaid by Rivo within the 30 days specified on the invoices. Id. 49-64. Although certainly not well-organized, these facts establish the existence of a contract between Arro and Rivo; they allege some performance in the production and shipment of the requested products by Arro; and they further allege a breach by Rivo in not paying for its orders. Finally, Arro identifies specific unpaid amounts forming the basis of damages. All of this information is within the Amended Complaint as background or within Count I for a breach of contract. Therefore Rivos Motion to Dismiss Count I 24 is denied. As the remaining Counts II-XV related to this particular series of purchase orders and transactions are pled in the alternative, they are dismissed as moot. The final issue raised by Rivo is its request to dismiss Count XVIII because it is either the same affirmative defense raised by Arro in response to Rivo's Amended Complaint, see (Dkt. Nos. 4 , 11 ), or because it fails to state a claim. Rivo does not cite to any authority as to why an affirmative defense and a counterclaim may not be similar, and the Federal Rules only require that both (affirmative defenses and counterclaims) meet the pleading requirements. See Heller Fin., Inc. v. Midwhey Powder Co., 883 F.2d 1286 (7th Cir. 1989); see also Fed. R. Civ. P. 8. As for the sufficiency of Arro's claim, Count XVIII alleges the breach of a contract whereby the parties agreed to split the cost related to pulling one of its products from shelves of retailer Walmart. See (Dkt. No. 22 , 180). The same basic contract formation and breach elements apply. In its Counterclaim Arro alleges that the parties discussed splitting the cost associated with Rivo's decision to pull the chocolate cookie products from retail store shelves. Id. 180, 181. After a telephone discussion, Arro's President sent an email to Rivo's CEO that discussed terms of an agreement where Arro would reduce the price of other products sent for sale until the cost associated with pulling the chocolate chip cookie mix was "fully amortized." Id. 183. The email further identified splitting the $0.41 per unit cost of removing 900,000 units from the shelves on a "50/50 basis" and exactly how much Arro would reduce the cost of its other items until the de-shelving charge was paid off. Id. Although the email did contain mention that Arro would "put Arro and Rivo's other costs on paper and figure out a method to sort out who is responsible for which costs during the next 4-6 weeks," id., the remaining contents suggest an agreement we split the cost of $369,000 and Arro does so by reducing the price of other items shipped to Walmart for consumer sale. Furthermore, Arro performed on its end of the agreement and they allege that Rivo has not with the result being "extensive damages" incurred by Arro for its price reduction of other shipped products. Id. 185-186. Applying the 12(b)(6) standard, Arro has sufficiently pled facts forming the basis of a breach of contract as to Count XVIII and so Rivo's Motion to Dismiss Count XVIII 24 is also denied. The Court only adds further that disputes as to the existence of a contract or contracts are legal issues that are particularly well-suited for summary judgment where the facts are not in dispute.
