PRELIMINARY ORDER IN CONNECTION WITH SETTLEMENT PROCEEDINGS: The preliminary Order incorporates by reference the definitions in the Settlement Agreement an all capitalized and defined terms (togather with their cognate forms) contained herein shall have the same meanings ascribed in the Settlement Agreement. A hearing (the "Settlement Hearing") shall be held before this Court on March 19, 2007, at 9:30 a.m., in Courtroom 15D, 500 Pearl Street, New York, New York 10007, to determine whether a settlement in the Class Action with the Individual Defendants on the terms and conditions provided for in the Settlement Agreement is fair, just, reasonable and adeqyate to the Class and should be approved by the Court by; whether the Final Judgment Order as provided in paragraph 1(p) of the Settlement Agreement should be entered herein; whether the proposed Plan of Allocation should be approved; and to determine the amount of fees an expenses that should be awarded to the Class Plaintiffs' Counsel. The Court may adjourn the Settlement Hearing without further notice to Class Members. If for any reason the settlement of the Class Action does not become effective in accordance with the terms of the Settlement Agreement, this Preliminary Order shall be rendered null and void and shall be vated, nunc pro tunc, and the provisions of paragraph 39 of the Settlement Agreement shall apply. Without further order of the Court, the Parties may agree reasonable extensions of time to carry out any of the provisions of this Preliminary Order or the Settlement Agreement.
