Argued And The Court Modified Its Ruling As Follows: Sustained With 10 Days Leave To Amend To Allege Specific Facts That Establish A Basis Of Duty That Runs To Mr. Elauria From Super Shuttle International And Lavoy That Is Separate And Distinct And Independent Of The Uniform Franchise Agreement ("ufa"). The Court Takes Judicial Notice Of The Arbitration Award Between Plaintiffs And Super Shuttle San Francisco ("sssf"). The Issue There Was Whether Sssf Breached The Ufa Related To Obtaining Uninsured Motorist Coverage, Breached A Fiduciary Duty To Mr. Elauria Or Defrauded Mr. Elauria. In Deciding The Fraud Claim, The Arbitrator Addressed The Contention That Sssf Failed To Provide Reasonably Necessary Insurance And That Sssf Allegedly Profited Through Its Insurance Program. The Arbitrator Ruled Against Mr. Elauria On Both Issues And Also Found That There Was No Breach Of The Ufa Agreement. Plaintiff's Complaint Makes The Same Claims Against These Defendants - Sssf's Parent And An Alleged Owner Of The Parent. The Central Claim Against These Defendants Centers On Obtaining Vehicle Insurance, Overcharging Franchises For The Insurance And Misappropriating The Franchises' Insurance Payments (paragraph 11). Central To The Claims Made Is The Contention That Section 5 Of The Ufa Made False Representations As To Insurance Coverage (paragraphs 28-32). Each Of Plaintiff's Causes Of Action Arises Directly The Issues Litigated And Decided In The Prior Arbitration. For That Reason The Arbitration Is Res Judicata. 	Demurrer To 2nd Amended Complaint Off Calendar Dec-26-2008 Text Ruling Tentative Ruling: The Demurrer Is Overruled With 10 Days To Answer. The Court May Take Judicial Notice Of The Arbitration Award Between Sssf And Plaintiff. Kilroy V. State (2004) 119 Cal.app.4th 140, 148; Flores V. Arroyo (1961) 56 Cal.2d 492, 496. The Issue Is The Effect Of The Award. Ssi And Lavoy Were Not Parties To The Arbitration Agreement Entered Into Between Plaintiff And Sssf. As A Consequence, The Collateral Estoppel Effect Of The Arbtration Decision Is Governed By Vandenberg V. Superior Court (1999) 21 Cal.4th 815, 834: "accordingly, We Are Compelled To Conclude That A Private Arbitration Award, Even If Judicially Confirmed, Can Have No Collateral Estoppel Effect In Favor Of Third Persons Unless The Arbitral Parties Agreed, In The Particular Case, That Such A Consequence Should Apply." At The Same Time, Vandenberg Stressed That The Decision Is Limited And That The Court Did Not Intend To Overturn Several Cases, Including Lehto V. Underground Construction Co. (1977) 69 Cal.app.3d 933, 939, Addressing The Res Judicata Effect Of An Arbitration Award. Plaintiffs' Agree That That Their Claims Would Be Barred By Res Judicata - Claim Preclusion - If The Present Claims Are Derivative And Identical To Plaintiffs' Claims Against Sssf, Citing Bernhard V.
