ORDER TO SHOW CAUSE FOR TEMPORARY RESTRAINING ORDER AND RELATED RELIEF PURSUANT TO 28 U.S.C. §§ 1335 & 2361. It is ORDERED, that defendants KRISHANU SINGHAL and LONGFIN, CORP. (together "Defendants") show cause before a motion term of this Court, at Room 15A, United States Courthouse, 500 Pearl Street, in the City, County and State of New York, on March 9, 2018 at 6 o'clock (p.m.) thereof, or as soon thereafter as counsel may be heard, why an order should not be issued pursuant to 28 U.S.C. § 2361 of the Federal Interpleader Act: (i) restraining and enjoining plaintiff Colonial Stock Transfer Company, Inc. ("Colonial") from transferring or registering any stock of LongFin Corp. (the "Shares") to either Defendant; (ii) restraining and enjoining Defendants from instituting or prosecuting any action or proceeding in any jurisdiction to recover from Colonial any of the Shares, including but not limited to any proceeding for damages, specific performance or attachment of the Shares; and (iii) staying the enforcement or levy of any execution, lien, or other judgment, if any, held by either Defendant against any of the Shares until such time as this Court may (A) discharge Colonial from any potential liability pursuant to plaintiff's Complaint for Interpleader, and (B) determine each Defendant's right, title and interest in the Shares. ORDERED that, sufficient reason having been shown therefor, pending the hearing of Colonial's application for a preliminary injunction pursuant to 28 U.S.C. § 2361: (i) Colonial is temporarily restrained and enjoined from transferring or registering any stock of LongFin Corp. (the '"Shares") to either Defendant; (ii) Defendants are temporarily restrained and enjoined from instituting or prosecuting any action or proceeding in any jurisdiction recover from Colonial any of the Shares, including but not limited to any proceeding for damages, specific performance or attachment of the Shares; and (iii) Defendants are further temporarily restrained and enjoined from enforcing or levying any execution, lien, or other judgment, if any, held by any Defendant against any of the Shares; and it is further ORDERED that Plaintiff shall post by March 2, 2018 a bond in the amount of $5,000 with the Clerk of the Court; and it is further ORDERED that service of a copy of this Order, annexed Declaration Jason Carter (together with all Exhibits), Memorandum of Law (the "Carter Decl."), Complaint in Interpleader and the Court-issued Summonses thereto annexed, shall be served by Friday March 2, 2018 as follows: 1) FED EX Overnight to defendant Long Fin Corp: LongFin Corp., 16-017, 85 Broad Street, New York 10004. With an email copy to Michael R.
