RE: Notice of Breach and Demand for De-energizing all of Tesla’s rooftop solar installations at
Walmart locations
Walmart Stores, Inc. (hereinafter, “Walmart”)hereby provides notice that Tesla, Inc. (hereafter,
“Tesla”) is in material breach of certain of its covenants under those Solar Power and Services agreements
between Walmart and Tesla (the “Agreements”) covering the Walmart facilities listed in Attachment A of
this notice (the “Affected Sites”). As discussed below, Tesla has failed to properly maintain and inspect the
solar energy generation systems at the Affected Sites, resulting in no less than two roof fires involving Tesla
solar generation systems during the past six months.
While the specific issues arising from the roof fires have been referred to Walmart’s outside counsel,
given the fact that the causes of the fires remain under investigation and in light of the inadequacy of Tesla’s
solar system inspection regimen, Tesla’s breach has resulted in the creation of a significant safety hazard
at the Affected Sites, putting Walmart’s customers, employees, facilities and merchandise all at risk. Indeed,
Walmart emphasizes the extrodrinary health and saftery concerns that have been created by the Tesla solar
generation systems and the resultant need to act immediately.
In addition, Walmart has sustained, and will likely continue to sustain significant damages as a result
of the fires. Therefore, until Tesla has demonstrated to Walmart’s satisfaction the solar system at each
Affected Site no longer represents a potential fire hazard, Walmart demands that the following mitigation
measures be taken;. Tesla shall de-energize all solar panels so that no AC or DC power is generated and
suspend solar operations at all of the Affected Sites immediately, but in no event later
than June 30, 2018 (the “Suspension Deadline”);. Tesla shall continue its investigation and analysis of the two solar systems that were
involved with roof fires. Tesla shall coordinate and cooperate with Walmart’s
designated outside counsel, to ensure that the investigation is completed thoroughly and
prompty, the written results of which shall be provided to Walmart and its outside
counsel without delay;. Tesla shall develop and present to Walmart for its review and approval a comprehensive
inspection and remediation (I&R) plan for the Affected Sites, reflecting the conclusions
of the investigations analyses mentioned above and shall include significant
improvements in Tesla’s current solar inspection protocols.
Individual systems may be re-energized once Walmart determines it has satisfactorily recieved:
(A) written confirmation that the system in question has been evaluated and nd that the causes of the Indio
and Beavercreek fires are not present at any of the Affected Sites, , and (B) written confirmation that a

system is re-energized, Tesla shall have personnel onsite to monitor any signs of potential hazard and may
only do so upon recieveing written consent from Walmart.
Although the Agreements are of different vintages, they share common language with regard to
the Provider’s Covenants. In relevant part, these covenants are as follows:

As you know, a roof fire involving your solar system at Walmart Store #2124 in Beavercreek, OH
occurred on March 7, 2018, resulting in significant damage to the store and its inventory. This site had
been inspected by Tesla only months before. Several days ago, another roof fire involving one of your
solar systems occurred at Walmart Store #2181 in Indio, CA. Although we are still in the process of
collecting information with regard to the fire, preliminary information suggests that this second fire
caused significant damage to our facility and may have resulted in personal injury (See local media
coverage: http://www.kesq.com/news/fires-caused-by-solar-panels-are-uncommon-expertssay/747502440.).
As noted above, Tesla has a contractual obligation to operate, maintain and inspect the solar systems at the
Affected Sites in a manner that ensures the safety of these systems. Given the fires and the demonstrated
inadequacy of Tesla’s current inspection protocols, it is evident that Tesla has failed to meet these
obligations. At present, the root causes of these fires are unknown. It is unclear when the root cause analyses
of these fires will be completed. Since the root cause of these fires in unknown, there is no way for Walmart
to reasonably conclude that the solar systems at the other Affected Sites to not pose a hazard with regard to
the potential for additional roof fires, especially since Tesla’s current inspection procedures appear to have
been inadequate to prevent the roof fires at Indio and Beavercreek. Walmart will not jeopardize the health
and safety of its employees and customers by assuming the safety of the Tesla systems at the Affected Sites.
Therefore, immediate de-energization and suspension of solar survives at the Affected Sites as soon as
possible is imperative.
Normally, a breach of the kind described above would lead to contract termination, following any allowed
cure period, and Walmart reserves its rights to do so. Nevertheless, at this time, Walmart would prefer to
suspend solar operations rather than terminate the Agreements. If Tesla is unwilling or unable to suspend
solar operations at all of the Affected Sites by the Suspension Deadline, Walmart will treat the thirty (30)
day period leading up to the Suspension Deadline as the cure period for Tesla’s breach of the Agreements.
In the absence of a cure or de-energization and suspension of solar services by the Suspension Deadline,
Walmart will be forced to consider termination of all of the Agreements for cause and shall retain all rights
an remedies available under the Agreements and law.
Please confirm Tesla’s agreement in writing to the suspension process set forth herein. In
responding, please include the Walmart counsel listed below as receipents. Given the immediacy of this
circumstance, we must have Tesla’s response by no later than June 4, 2018, at 10:00 a.m., eastern standard
time.

Affected Site no longer represents a potential fire hazard, Walmart demands that the following mitigation
measures be taken;
1. Tesla shall de-energize all solar panels so that no AC or DC power is generated and
suspend solar operations at all of the Affected Sites immediately, but in no event later
than June 30, 2018 (the “Suspension Deadline”);
2. Tesla shall continue its investigation and analysis of the two solar systems that were
involved with roof fires. Tesla shall coordinate and cooperate with Walmart’s
designated outside counsel, to ensure that the investigation is completed thoroughly and
prompty, the written results of which shall be provided to Walmart and its outside
counsel without delay;
3. Tesla shall develop and present to Walmart for its review and approval a comprehensive
inspection and remediation (I&R) plan for the Affected Sites, reflecting the conclusions
of the investigations analyses mentioned above and shall include significant
improvements in Tesla’s current solar inspection protocols.
Individual systems may be re-energized once Walmart determines it has satisfactorily recieved:
(A) written confirmation that the system in question has been evaluated and nd that the causes of the Indio
and Beavercreek fires are not present at any of the Affected Sites, , and (B) written confirmation that a
thorough inspection of all potential sources of human error and equipment defects, based on the abovementioned I&R Plan, has been completed and the site in question has been fully remediated. As each

system is re-energized, Tesla shall have personnel onsite to monitor any signs of potential hazard and may
only do so upon recieveing written consent from Walmart.
Although the Agreements are of different vintages, they share common language with regard to
the Provider’s Covenants. In relevant part, these covenants are as follows:

As you know, a roof fire involving your solar system at Walmart Store #2124 in Beavercreek, OH
occurred on March 7, 2018, resulting in significant damage to the store and its inventory. This site had
been inspected by Tesla only months before. Several days ago, another roof fire involving one of your
solar systems occurred at Walmart Store #2181 in Indio, CA. Although we are still in the process of
collecting information with regard to the fire, preliminary information suggests that this second fire
caused significant damage to our facility and may have resulted in personal injury (See local media
coverage: http://www.kesq.com/news/fires-caused-by-solar-panels-are-uncommon-expertssay/747502440.).
As noted above, Tesla has a contractual obligation to operate, maintain and inspect the solar systems at the
Affected Sites in a manner that ensures the safety of these systems. Given the fires and the demonstrated
inadequacy of Tesla’s current inspection protocols, it is evident that Tesla has failed to meet these
obligations. At present, the root causes of these fires are unknown. It is unclear when the root cause analyses
of these fires will be completed. Since the root cause of these fires in unknown, there is no way for Walmart
to reasonably conclude that the solar systems at the other Affected Sites to not pose a hazard with regard to
the potential for additional roof fires, especially since Tesla’s current inspection procedures appear to have
been inadequate to prevent the roof fires at Indio and Beavercreek. Walmart will not jeopardize the health
and safety of its employees and customers by assuming the safety of the Tesla systems at the Affected Sites.
Therefore, immediate de-energization and suspension of solar survives at the Affected Sites as soon as
possible is imperative.
Normally, a breach of the kind described above would lead to contract termination, following any allowed
cure period, and Walmart reserves its rights to do so. Nevertheless, at this time, Walmart would prefer to
suspend solar operations rather than terminate the Agreements. If Tesla is unwilling or unable to suspend
solar operations at all of the Affected Sites by the Suspension Deadline, Walmart will treat the thirty (30)
day period leading up to the Suspension Deadline as the cure period for Tesla’s breach of the Agreements.
In the absence of a cure or de-energization and suspension of solar services by the Suspension Deadline,
Walmart will be forced to consider termination of all of the Agreements for cause and shall retain all rights
an remedies available under the Agreements and law.
Please confirm Tesla’s agreement in writing to the suspension process set forth herein. In
responding, please include the Walmart counsel listed below as receipents. Given the immediacy of this
circumstance, we must have Tesla’s response by no later than June 4, 2018, at 10:00 a.m., eastern standard
time.
