On your second question, I can confirm that Google will oppose the motion to continue if it’s filed early this afternoon. If
Plaintiffs hold off on such a motion, Google’s position might change. In that regard, we’ll look forward to hearing back
from you about the ideas for narrowing Plaintiffs’ 30(b)(6) notice that we discussed earlier today.
We’ll come back to you on the first question.

Thank you for this email. We will consider what you’ve said and get back to you as soon as we can. In the meantime, I
have two items I would like to raise:
1) Based on our conversations last week, it was our belief that both sides had agreed that Google’s and Plaintiffs’
Rule 30(b)(6) depositions would each last for 14 hours total, with the exact scope and topics still to be worked
out. It was also our belief that this agreement was firm, regardless of whatever else might happen in our Rule
30(b)(6) deposition negotiations. Is that consistent with Google’s understanding? If not, please let us know as
soon as possible.
2) We can hold off on filing our motion to continue the hearing on Google’s motion for a protective order until
2:30pm. Please let us know Google’s position on the continuance before then. If we do not hear from Google,
we will indicate in our motion that, at the time of filing, Google had not stated a definitive position on the
motion.
We remain available and interested in continuing to meet and confer to resolve as many outstanding issues as possible.

Aaron,
Google shares Plaintiffs’ interest in exploring whether the parties can resolve the outstanding disputes regarding the
30(b)(6) notices without the Court’s intervention. Last week, we served written objections to Plaintiffs’ 30(b)(6) notice, met
and conferred several times, and made a proposal to narrow the dispute. Apart from withdrawing Topics 28-30 to stay
within 14 total hours, Plaintiffs have not made any proposals to narrow their 30(b)(6) notice. Google is willing to continue
meeting and conferring, but we believe that the process will proceed most efficiently if Plaintiffs can articulate in writing
how they would propose to narrow their notice.
Google is not inclined to continue the hearing on its motion for a protective order. Although Plaintiffs have sought to link
the parties’ respective 30(b)(6) notices, they are not actually dependent on each other. Further, with only a few weeks left
for fact discovery, Google needs clarity quickly on the scope of its obligations to prepare witnesses for 30(b)(6) testimony,
and continuing the hearing would delay things unnecessarily.

Andy,
We think it is important that the Court consider Google’s motion for a protective order at the same time as the United
States’ impending motion for a protective order to prevent a deposition of Antitrust Division counsel. We intend to file
that motion in relatively short order, initially noticing it for a Friday, 9/1 hearing date.
Shortly thereafter, we plan to ask the Court to continue the hearing on Google’s motion for a protective order to be
heard on the same date as the United States’ motion for a protective order regarding the deposition of Antitrust Division
counsel. We plan to indicate to the Court that we would be fine with a 9/1 hearing date for both motions, or a date
certain sooner than 9/1.
We already understand that Google opposes the United States’ motion for a protective order on Google’s attempt to
depose Antitrust Division counsel.
What is Google’s position on continuing the 9/1 hearing on Google’s motion for a protective order so both 30(b)(6)related motions can be taken up together? Please let us know your position as soon as possible.
Additionally, we remain available and interested in continuing to negotiate to try and resolve all outstanding disputes
regarding the parties’ respective 30(b)(6) notices (including the scheduling of the hearings). As Julia said on Friday, we
found it regrettable that Google chose to file its motion when it did, as we felt (and continue to feel) that a negotiated
resolution is possible, and was getting closer as of Friday afternoon.

Julia and Aaron,
Google is not willing to agree to the terms in your email, as they would allow Plaintiffs to seek a protective order today,
while constraining Google’s ability to do the same. We are preparing to file our motion for a protective order today. If you
would like to accept the offer contained in Julie’s email from last night, that remains open until 4:30 pm.
We consider it unfortunate that Plaintiffs would consider burdening the Court with these matters when the parties seemed
to be making progress on a number of fronts. In particular, we are not at an impasse on the issues related to Google’s
affirmative defenses. Plaintiffs only recently made a proposal to address RFP 40, which Google is still considering. We
fail to see any reason why your motion needs to be filed today, as the close of fact discovery does not prevent the Court
from considering a motion for judgment on the pleadings/to strike.

Julie and Team – Consistent with our call just now, and in the hopes of minimizing unnecessary motion practice,
Plaintiffs can agree to the following in response to your email of last night:
1. Plaintiffs agree not to seek, without Google’s consent, to conduct the Rule 30(b)(6) deposition of Google before
Monday, September 4, 2023.
2. Provided that Google agrees to defer filing any motion for a protective order concerning Plaintiffs’ Rule 30(b)(6)
until August 25, 2023, Plaintiffs agree not to move before Friday, August 25, 2023, if at all, for a protective order
concerning any aspect of the Rule 30(b)(6) noticed served on the United States other than those Topics (31, 37,
and 38) that relate to Google’s tenth and thirteenth affirmative defenses, on which the United States may move
as soon as today for appropriate relief. To the extent the parties are unable to reach agreement on their
respective Rule 30(b)(6) motions (excepting those portions of Google’s Rule 30(b)(6) notice to the United States
that relate to Google’s affirmative defenses) by August 25, 2023, each side will file, as it deems necessary, a
motion for a protective order by no later than August 25, 2023 to ensure that any such motion for a protective
order can be heard and ruled upon by the Court no later than September 1, 2023.
3. Plaintiffs and Google will collectively come to agreement as to whether it is necessary to file a motion with the
court no later than August 25, 2023 to allow any 30(b)(6) deposition of Google to occur on September 11-12,
2023. That motion for an out-of-time deposition of Google on the Rule 30(b)(6) topics will be jointly filed by the
parties and will not place blame on either side for the need to take the deposition out-of-time (should that be
necessary).
Please let us soon as possible whether we have an agreement on these terms.
