Chang: As part of considering the direct-purchaser issue as to Painters Fund, the parties discussed (and provided) the contract between Blue Cross Blue Shield and Plaintiff Painters Fund. The Court would like to examine the contract between Defendant and Blue Cross Blue Shield through which Painters Fund's covered participants received services (it might be that the pertinent contract does not specifically name Painters Fund, or Painters Fund is part of a schedule attached to the contract). The parties are directed to file a Response to Inquiry that identifies where on the docket the contract (or contracts, if there is more than one over the relevant time period) can be found, or if not on the docket, attach the contract (or contracts) to the Response as an exhibit. Additionally, the Response shall identify any provisions within the contract that address whether Blue Cross Blue Shield was liable for shortfalls in payments due to Defendant from the entities (like Painters Fund) for which BCBS was a network administrator. For the reasons discussed during the hearing, Northshore's motion to compel 881 is denied: the request is untimely (it was obvious on 01/25/2017 that Plaintiffs' expert would rely on the article); the burden on the expert to re-create the drafting process is too burdensome to justify the effort; and peer review commentary is generally regarded as confidential. MINUTE entry before the Honorable Edmond E. Chang: The defense motion to file a reply expert report 875 is granted in large part but the proposed schedule is modified. Often, the Court sets an expert discovery schedule that says that both sides shall make expert disclosures to offer evidence that the respective party would wish to introduce regardless of whether the other side discloses evidence on the same subject. Then the parties make responsive disclosures, and then take depositions. The Court could have done that here, but instead trusted the parties to propose a structure and schedule. The parties proposed a Plaintiffs-first structure. It should have been evident to both sides that quality of care was going to be a disputed issue as a possible basis for price increases. If the Court had invoked its usual structure, then we would not need an extension. In the interests of justice, the defense should be permitted to reply to Plaintiffs' new treatment of the topic. Indeed, the Court would have expected Rule 26(e) supplements from Meyer anyway, in order to address Romano's report (which was not really a reply). But the schedule shall proceed as follows: Romano's deposition is supposed to be taken by 02/22/2017. R. 868. Meyer shall disclose the reply report by 03/24/2017. His deposition will be taken by 04/17/2017 (by 02/21/2017, the parties shall schedule his deposition for a date before 04/17/2017 so that he is booked sooner rather than later). Summary judgment motions are due by 05/10/2017. To forestall a situation where each side splinters its summary judgment issues into multiple motions, multiple briefs, and multiple 56.1 Statements (like a summary judgment motion on one element of a claim or defense masquerading as a separate motion and obtaining another 15-pages of briefing and 40 more 56.1 paragraphs), each side shall file *one* summary judgment motion and then file *one* supporting brief and *one* 56.1 Statement that asks for all the Rule 56 relief that is sought by the respective side. So in advance of the 05/10/2017 deadline, the parties should be estimating how many pages and 56.1 paragraphs they need and file a respective motion for extra pages and paragraphs, explaining the need. When the briefs are filed, each party shall add a.pdf bookmark for the major point headings, to enable the Court to navigate the briefs easily. 56.1 Statements also shall be organized with point headings and corresponding.pdf bookmarks to those point headings in order to help the Court's review. The response briefs and 56.1 responses are due by 06/21/2017. Replies are due by 07/07/2017. As discussed during the hearing, Plaintiffs' motion 806 is granted on conditions. Plaintiffs' experts and Defendant's employees shall have direct, in-person conferral to obtain, to the extent possible, explanations of the database fields, that is, what data and source did the field draw from, and how was the data entered into the field. The defense shall choose the employees to attend the meeting by asking itself, which employees would NorthShore ask to help interpret the database (both the prior one and the current system). Plaintiffs' experts (not the lawyers) will then draft a Definitions Term Sheet that defines the database fields; Defendant's employees (not the lawyers) will comment on and propose edits to the Definitions Term Sheet, all with the goal of generating an agreed-on Definitions Term Sheet. If Defendant's responses to Plaintiffs' experts reports and testimony later argue that Plaintiffs' experts have misunderstood a database field, then Plaintiffs may move for fees and costs both for the original expert reports and for the creation (or supplementation) of new reports in view of the misunderstanding. Plaintiffs are authorized to issue a subpoena to prior NorthShore employee(s) as needed to understand the database. MINUTE entry before the Honorable Edmond E. Chang: The parties disputed the discoverability of certain Bain-generated documents, see R. 714, 747, which were authored by Bain in the course of post-merger consulting engagements with Defendant. Based on the confidential nature of the information contained in the documents (they reflected Bain's analysis and advice on potential business strategies), and the unlikelihood of finding discoverable information in them, the Court permitted Defendant to file them ex parte and under seal. R. 731-1 through R. 731-7. On a review of the documents, the Court finds that the documents are not discoverable. Remember that the context of this discovery dispute is that Plaintiffs have taken discovery on Defendant's *actual* post-merger pricing conduct (as the Court earlier explained, during the 07/16/2015 hearing, that information is discoverable as relevant to damages allegedly caused by the exercise of, according to Plaintiffs, monopoly power arising from the merger). And part of the context too is that Bains advice on strategies going forward were not necessarily implemented by Defendant. So discovery of the Bain documents in this context would be appropriate only if there was some direct information on the use of the post-merger pricing power for hospital services. There is not; the bulk of the pages of the documents reflect opinions, forecasts, and advice that do not bear on pricing power. It is true that some of the Bain documents in R. 731-1 through R. 731-7 do refer to actual financial performance from post-merger time periods, e.g., R. 731-1 at 2-3, R. 731-2 at 43, R. 731-7 at 5, 10, but the information does not bear directly on pricing power. Any references to contracts with MCOs and doctors, see R. 731-1 at 3, R. 731-5 at 38, also are general references without specific bearing on pricing power. The motion is denied as to the documents. As a final note, the review of the documents confirmed the propriety of ex parte and under seal filing of the documents for review; they do reflect strategic analyses and advice that would give competitors significant advantages over Defendant. Chang: NorthShore's motion for reconsideration, R. 749, of the Order of 09/04/2015, R. 742, denying in part its motions, R. 641-647, to compel arbitration, is granted. Rather than respond in substance to the reconsideration motion, each of the corporate entities targeted by the motion did not oppose the motion or took no position on it, as communicated through Class Counsel. Perhaps the entities could have argued that the reconsideration standard had not been met because NorthShore initially mentioned the entities only in the footnotes in the motions to compel. R. 742 at 4-5. And perhaps Coventry and Principal Behavioral could have argued that the applicable arbitration agreements on which NorthShore relies do not actually require arbitration. R. 718-1 at 9 (Coventry); R. 718-31 at 12 (Principal). Similarly, Oxford could have questioned what appears to be an unsigned draft as the basis for arbitration. R. 718-28 at 6. But none of the entities, and not Class Counsel, substantively responded to the motion for reconsideration. Oxford "does not oppose" the motion and the other entities take "no position." R. 752 at 1. So, absent protest, NorthShore's motion is granted. Accordingly, Oxford Health Plans LLC, One Health Plan of Illinois, Great-West Healthcare, Principal Behavioral Healthcare, Inc., CCN Managed Care, Inc., and Coventry Health and Life Ins. By requiring disclosure only of forms, templates, or samples, the goal is to avoid an undue burden on the MCOs. Any MCOs who wish to move to quash may do so on or before 10/15/2015 (and need not produce the documents on that date). Defendant may agree to extend the 10/15/2015 deadline if that will facilitate avoiding a dispute. As discussed during the hearing, certain Bain-generated documents will be filed under seal for the Court's ex parte and in camera review for discoverability. With regard to any dispute over depositions of Bain employees, the Court would be willing to hear any subpoena dispute via Rule 45(f) transfer, giving Bain access to litigating here at minimal cost. On Defendants motion to compel claims data 715 , for the reasons stated during the hearing, the data sought is discoverable as to damages and the motion is granted. Defendant's motion to seal 720 contract is granted, subject to potential reference in any order in which judicial decision-making is premised on a particular provision of the contract. MINUTE entry before the Honorable Edmond E. Chang: In the Class's brief in opposition to NorthShore's motions to compel arbitration, there is a section entitled "Arbitration Should Not Be Compelled." R. 693 at 5. There is a footnote on this section header, which states that several potential class members "do not join in this section of this Opposition." Id. at n.5. It would be reasonable to conclude that the potential class members are agreeing that arbitration should be compelled. But later in the opposition brief, there are arguments made opposing arbitration specifically on behalf of the class members mentioned in the footnote. Id. at 18-24. It is unclear what is the position of these class members. The class members either oppose NorthShore's motions or they do not. If they do oppose, their opposition might be based on all of the arguments presented, or they might oppose arbitration but only wish to make certain arguments. (Given the nature of the potential class members' business, there might be arguments that, for institutional reasons, they are uncomfortable making and wish to waive.) For its part, NorthShore believes that the identified class members have conceded arbitration, R. 704 at 2, but NorthShore (sensibly) went on to present additional arguments if that interpretation is wrong. Class Counsel is directed to confer with the potential class members identified in the footnote, ascertain their detailed positions, and file a statement explaining those positions as clearly as possible. MINUTE entry before the Honorable Edmond E. Chang: The Court has Defendant NorthShore's motions to compel arbitration, R. 641-47, under advisement. In connection with those motions, NorthShore delivered to the Court, but did not file, a paper copy of a tabbed binder containing 47 contracts. (For reference's sake, the binder was delivered with a cover later dated March 23, 2015.) Those contracts must be made a formal part of the record, so NorthShore must file them on the electronic docket. It may do so under seal provisionally, although the Court will, as always, consider whether sealing is appropriate when it decides the relevant motions. The contracts should be filed so that each winds up with a unique docket number, that is, 700-1, 700-2, and so on. Also, NorthShore is ordered to deliver to chambers a CD or thumb-drive containing the 47 contracts in PDF form. The contracts must all be in a single, OCR'ed PDF file. The contracts must also be bookmarked (using the Adobe function for bookmarking). Those bookmarks should be formatted to correspond to the table of contents provided with the original binder, that is, the first bookmark should read "1 - Participating Hospital Agreement." and so on. MINUTE entry before the Honorable Edmond E. Chang: Status hearing held on the status of class notice. Counsel for Humana (one of the subpoena recipients), Jennifer Stegmaier, also appeared. As discussed during the hearing, the premise of the class-notice plan shall be to use Defendant's patient list, narrowed down as far as possible to conform to the class definition (though the list will not be able to exclude non-fixed copay patients). Because that list encompasses the information from the subpoena recipients, and most of the recipients themselves either cannot exclude non-fixed copay patients, or would have to expend substantial resources to do so, the subpoenas are hereby withdrawn. As noted, either side may pursue the information later in the case, if needed for damages discovery. Defense counsel reported that Blue Cross did produce a list of non-fixed copay class-member information. With this premise established, the Court takes under advisement the remaining aspects of the proposed class-notice plan. Status hearing set for 09/04/2014 at 11:00 a.m. By 08/26/2014, the defense is authorized to file a motion for summary judgment based on a statute-of-limitations argument (the brief may consume 18 pages), including an argument on why the motion is not premature (that is, whether a decision before the class notice (and opt-out period)) would bind the class members.
