AMENDED CONSENT JUDGMENT in favor of HILDA L. SOLIS against KEVIN T. WEIR, granting 73 Motion to Approve Consent Judgment of Defendant Kevin Weir filed by HILDA L. SOLIS; that 1. The Secretary's Contempt action alleges that Defendant Weir failed to comply with terms of the Consent Judgment he entered into and which was ordered by this court on 8/30/11. Defendant Weir filed a response denying he was in contempt as he believed his Co-Defendant Liberty Pittsburgh Systems, Inc., was going to make all of the payments required by the consent judgment to restore the funds owed to the Plan. Defendant Weir agrees to cure the contempt by agreeing to the following: 2. The original terms of the Consent Judgment entered into on 8/30/11 August 30, 2011 remain in effect against Defendant Weir and Liberty-Pittsburgh Systems, Inc. However. the terms of the judgment against Weir are amended in paragraphs a-k (stated more fully within), including that a. Weir agrees he is jointly and severally liable with Defendant Liberty Pittsburgh Systems, Inc. and must restore $ 57,643.63 in plan assets and $9,494.04 in prejudgment interest to the Plan as restitution, as outlined in the 8/30/11 consent judgment entered by this court. The total amount to be restored to the Plan is $67,137.67; b. Weir shall make restitution to the Plan the amount set forth in paragraph (a) in accordance with the payment schedule stated more fully in said Judgment; c. Weir shall have the right to accelerate and make greater payments toward the balance of the money due without penalty. In the event that Weir fails to make any installment payment as specified in said judgment, the entire balance then owing, plus interest to be calculated at the post-judgment rate of interest in effect at the time of the entry of the original Consent Judgment entered on 8/30/11 and reasonable attorneys' fees, shall become immediately due and payable; d. An independent fiduciary, GTrust Financial Partners, shall be appointed. Weir shall pay for the costs of this independent fiduciary, the fees of which are not to exceed: $5,000. Weir's initial lump sum payment of $3,500 and $1,500.00 of his first monthly payments shall be applied to cover the costs of this independent fiduciary; e. Weir shall cooperate with independent fiduciary in the performance of its duties; f. If Weir files for any form of bankruptcy prior to the full payment of restitution to the Plan, Weir will not oppose any proof of claim that the Secretary files in the bankruptcy proceeding for any amount still owing and Weir will not oppose an adversarial action that the Secretary may file to have the debt to the Plan declared non-dischargable; g. Minute Entry for proceedings held before Judge Nora Barry Fischer: Show Cause Hearing held on 1/25/2012 indicating that prior to the hearing, at 2:00 p.m. and without the Court's presence, the parties met and conferred in the Court's jury room in an effort to resolve their dispute. Failing same, the Court then convened the Show Cause hearing on Plaintiffs Motion for Adjudication of Civil Contempt 31 . Instead, Counsel for LPS presented the background information on the financial position of the company. He described ongoing negotiations with various of LPS's creditors, as well as the union, which is currently on strike. Counsel proposed holding over the motion for 90 days. Counsel for Plaintiff expressed concern that the Defendants may have entered into the consent agreement 28 in bad faith. However, if Defendant LPS provides Plaintiff with the necessary financial information, as well as a report from an independent auditor, and Defendant Weir provides his financial information, the Plaintiff agreed to hold the motion over for 90 days. The Court agreed to hold over its consideration of the pending motion. Defendant Weir was reminded that, if he retained counsel, said counsel should enter his or her appearance prior to the conference call. CONSENT JUDGMENT (granting 27 Motion to Approve Consent Judgment); It is hereby ordered that a. This Court has jurisdiction over this action and the defendants; b. Weir and the Company, Jointly and severally, shall restore $57,643.63 in plan assets and $9,494.04 in pre-judgment Interest to the Plan as restitution. The total amount to be restored to the Plan is $67.137.67; c. Weir and the Company shall restore to the Plan the amount set forth in paragraph (b) in accordance with the following payment schedule: (1) $25,000 payable on or before 10/1/11, (2) five payments of $8,427.53 each payable on 11/1/11, 12/1/11, 1/1/12, 2/1/12 and 3/1/12. Weir and the Company shall have the right to accelerate and make greater payments towards the balance of the money due without penalty. In the event that Weir and the Company fail to make any installment payment as specified above, the entire balance then owing, plus interest to be calculated at the post-judgment rate of Interest in effect at the time of this entry of this Consent Judgment and reasonable attorneys' fees, shall become immediately due and payable; Numerous other details more fully stated in said Consent Judgment including that Defendants are permanently enjoined from violating any provisions of ERISA in the future, This Consent Judgment shall operate as a final disposition of all claims asserted by the Secretary against the defendants in the Complaint; Nothing in this Consent Judgment is binding on any governmental agency other than the United States Department of Labor, This Court retains jurisdiction of this action for purposes of enforcing compliance with the terms of this Consent Judgment; and The Court directs the entry of this Consent Judgment as a final order.
