1. This report is being filed solely in connection with Mr. Kennedy's appointment as a director of the Registrant.

2. Consists of non-qualified stock options which were granted pursuant to the plan to Mr. Kennedy on July 21, 2010, in connection with his Board of Advisor role. These stock options began quarterly vesting on October 21, 2010 and quarterly vesting will continue over a four year period ending on July 21, 2014, subject to forfeiture in accordance with the terms of the grant.
